With the aim of establishing a sound corporate governance mechanism and implementing the concept of corporate sustainability, we have set up the Corporate Governance and Sustainability Committee in accordance with our Corporate Governance Best Practice Principles and Sustainable Development Best Practice Principles, with three independent directors, the Chairman, and the President serving as committee members. This committee is composed of four teams, namely the Corporate Governance and Ethical Corporate Management Team, the Sustainable Environmental Development Team, the Employee Care and Social Engagement Team, and the Risk Management Team, which are not only responsible for the operation of related matters, but also promote and implement the resolutions passed by this committee. These teams report their implementation plans and related outcomes to this committee on a regular basis, which are then reported by this committee to the Board of Directors.

While the Corporate Governance and Ethical Corporate Management Team is headed by the Chief Corporate Governance Officer, the Sustainable Environmental Development Team is led by the Vice President of the Production and Technology Department, the Employee Care and Social Engagement Team is led by the Vice President of Administration and Commercial Department, and the Risk Management Team is led by the President. These teams may set up a number of working groups, with the relevant tasks to be carried out by first-level units. At least two executive team meetings are held each year, with the President as the convener, to discuss the implementation of tasks related to the duties and responsibilities of this committee. Meetings can also be convened at any time when necessary. A report on implementation outcomes has to be submitted every six months, while an implementation plan for the following year has to be presented at the end of the current year.
